Please read this Privacy Policy (“Privacy Policy”) carefully as it contains important information that relates to you.

We provide a service for authenticating your identity for the purposes of connecting you to customer accounts and loyalty programs, making payments, obtaining physical entry in to structures and other activities (the “POPIDGateway”).

The Privacy Policy constitutes a legally binding agreement between you (“User” and“you”) and POPID, Inc, a Delaware company doing business as “POPID” (“POPID”,“we” and “us”) and by providing personal Information in relation to your use of the POPID Gateway, you acknowledge and agree to the terms of this PrivacyPolicy and to how your Information will be collected, stored, shared and used. 1.Collection of Information
For the purposes of this Privacy Policy, “Information” means personal information provided by you in relation to your use of the POPID Gateway which includes, but is not limited to, your full name and telephone number. You expressly acknowledge and agree tous sharing your Information with POPID certified merchants (“Merchants”) to allow these Merchants to authenticate your identity in connection to your use of the POPID Gateway. Your Information is personal and is a vital part of our relationship with you and we warrant to you that we will not share yourInformation with non-certified merchants.

2.Merchants.  
The POPID Gateway contains connections to web sites, applications, loyalty programs and similar platforms (collectively, the “Merchant Services”) provided or hosted by Merchants and you acknowledge and agree that your use of the Merchant Services is subject to and conditional upon your acceptance of any terms, conditions and policies implemented by the Merchants, from time to time, with respect to the Merchant Services. You further acknowledge and agree that we are not responsible, in any manner whatsoever, for the connection to and your use of the Merchant Services and the sharing of and use and storage by theMerchants of your Information.

3.Combination of Information from Merchants.  
You acknowledge and agree that we may combine your Information with information we collect or receive about you from Merchants including, but not limited to, social media and social networking accounts and such additional information will form part of the Information for the purposes of this Privacy Policy.

4.Automatic Collection ofInformation.  
When you use the POPID Gateway, we also may use various technologies, including cookies, web beacons, pixel tags, log files, local shared objects (Flash cookies), HTML5 cookies, or other tracking technologies, to automatically collect your Information, including aggregated measures of the POPID Gateway’s use and aggregated technical and other data about your use of the POPID Gateway that do not personally identify you. We may use this data to analyze, improve, support and operate the POPID Gateway, for distribution in general benchmarking data and industry and/or other usage and demographic reports, and other business purposes. You acknowledge and agree that we may also remove your Information from POS device data and aggregate it with other anonymous data, pool and/or combine aggregated data with other information.

5.Sharing of Information.
You expressly acknowledge and agree that we may share your Information a) with Merchants; b) with our subsidiaries and affiliates; c) to comply with any law, judicial proceeding, court order or other legal process; d) to our agent strictly to improve the content and functionality of the POPID Gateway; and e) to investigate, prevent or take action regarding illegal activities, suspect fraud, situations involving potential threats to the safety of any person. The sharing of your Information with the before mentioned parties (collectively, the “Third Parties”) is subject to their compliance with the terms of thisPrivacy Policy.

6.Tracking Options and California Do Not Track Disclosures.  
Our cookies and other tracking technologies help provide additional functionality to the POPID Gateway and help us analyze POPID Gateway’s usage more accurately. For instance, our POPID Gateway may set a cookie on your browser that saves your login credentials. You can set your browser or operating system settings to limit certain tracking or to decline cookies, but by doing so, you may not be able to use certain POPID Gateway features. Please refer to your web browser’s or operating system’s website or“Help” section for more information on how to delete and/or disable your browser or operating system from receiving cookies or controlling your tracking preferences. appchoices. On your mobile device, you may also adjust your privacy and advertising settings to control whether you want to receive more relevant advertising. Our system may not respond to Do Not Track requests or headers from some or all browsers.

7. Business Transfers.  
In the event of a corporate sale, merger, reorganization, dissolution or similar event (“Transfer”), you acknowledge and agree that your Information may be transferred to the transferee as part of theTransfer. We will use reasonable efforts to ensure the transferee acknowledges and agrees to be bound by the terms of this Privacy Policy with respect to yourInformation.

8.Legal Requirements.  
We may disclose your Information if we believe, in our reasonable discretion, that such disclosure is legally required by any Court, authority or governing body with competent jurisdiction.

9. Public Information.  
This Privacy Policy does not apply to any Information in the public domain including, but not limited to, information posted in a public chat room or on social media and this public information is deemed non-confidential and we may reproduce, disclose, distribute or otherwise use this public information without limitation.

10. Children.  
We prohibit the use of our POPID Gateway by children under the age of 13 years. If we become aware of such use, then we will immediately delete the Account andInformation of the child.

11. Indemnity.  
You hereby irrevocably agree to indemnify, release, defend and hold harmless us and our Related Entities,  officers, employees, directors and agents, from all demands, actions, expenses, suits, fees and similar claims (“Claims”),of whatsoever nature and whether known or unknown, arising out of or in relation to a) the collection, use, sharing, storage and protection of yourInformation by us, the Merchants or the Third Parties; b) the provision of or connection to the Merchant Services; c) any other matter relating to or arising out of this Privacy Policy.

12. Analytics.  
You acknowledge that we may review, scan and analyze your communications on the POPIDGateway for the purpose of improving the POPID Gateway, regulatory compliance, investigation, product development, research and for customer service purposes.We will not sell our reviews or analysis of these communications.  

13. Destruction of Identifiers & Information.  
You acknowledge that the Information includes, but is not limited to, biometric identifiers and biometric information and notwithstanding any other provision of this Privacy Policy, you further acknowledge that we will destroy such identifiers and information on the earlier date of either: (a) the date when the initial purpose for us collecting and obtaining the identifiers and information has been satisfied; or (b) within three years of the last date of your use of the POPID Gateway.

14.Security.  
We are continuously implementing and updating administrative, technical, and physical security measures to help protect your information against unauthorized access, loss, destruction, or alteration. Some of the safeguards we use to protect your information are firewalls and data encryption, and information access controls. If you know or have reason to believe that your Information has been lost, stolen, or otherwise compromised, then you should immediately contact us at info@popid.com
15. Access Rights.  
You may request, at any time, the Information that we have collected from you bye mailing us at info@popid.com
16. Amendments.  
We reserve the right, in our absolute discretion, to modify this Privacy Policy at anytime in accordance with this provision. If we make changes to this PrivacyPolicy, we will post the revised Privacy Policy on our website www.popid.com. Your continued use of ourPOPID Gateway will be deemed acceptance of the Privacy Policy, so amended. If you disagree with the revised Privacy Policy, you should cancel your Account and notify us immediately. You may modify any Information by emailing us at info@popid.com.

17. Arbitration.
Notwithstanding clause 18, any dispute, claim or controversy arising out of or
relating to these Term or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of these Terms to arbitrate, shall be determined by arbitration in Los Angeles,California before one arbitrator. The arbitration shall be administered by JAM Spursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those Rules. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

18.Governing Law.  
Subject to clause 17, thisPrivacy Policy will be governed by the laws of the State of California and both you and us agree to submit to the non-exclusive jurisdiction of the Courts of the State of California.

19.No Class Actions.  
You agree that any Claim brought pursuant to clauses 17 or 18 must be on an individual basis and you expressly agree and waive any right to a class, consolidated or representative Claim. If a Claim proceeds in a Court pursuant to clause 17., you further waive any right to a jury trial.

20.Entire Agreement.  
This Privacy Policy constitutes the entire agreement between you and us with respect to your Information and the matters outlined herein and may only be amended in accordance with clause 16.This Privacy Policy supersedes any prior agreements between you and us with respect to the Information.

21.Waivers.  
The failure by us to exercise or enforce any right or provision of this Privacy Policy shall not constitute a wavier of such right or provision.

22. Severability.  
If any provision of this PrivacyPolicy is found by a Court of competent jurisdiction to be invalid, then that provision is deemed severed from this Privacy Policy and you and us will remain bound bythe balance provisions of this Privacy Policy.

23.Electronic Copies.  
An electronic copy of theseTerms shall be binding on you and us and will be admissible in judicial and administrative proceedings based upon or relating to this Privacy Policy.

24. Notices.
